Mergers, acquisitions, divestitures and strategic joint ventures are the primary focus of Mr. Cutler’s practice. Over the years, Mr. Cutler has represented buyers, sellers and joint venturers in well over 200 transactions having aggregate consideration in excess of $15 billion. 

Among his publicly reported transactions, while at Akerman LLP, Mr. Cutler represented Republic Services Inc. in its historic $6.3 billion merger with Allied Waste Industries Inc. He also served as counsel to inVentiv Health in its $1.1 billion “going private” divestiture to Thomas H. Lee Partners and the The GEO Group, Inc. in its $415 million acquisition of BI Incorporated. Other notable transactions include his representation of various private equity funds, including Trivest Partners, Red Zone Capital and ComVest Partners, in numerous high-profile transactions, including the divestiture of Dick Clark Productions, Inc. and The Johnny Rockets Group, among other well-known portfolio companies. Mr. Cutler has also represented clients in a multitude of smaller private transactions involving the purchase and sale of local businesses, restaurants and professional practices.
