Commercial Lending
Mr. Cutler represents borrowers and lenders (including banks and non-traditional lending institutions) in a wide range of commercial lending transactions, including general business financings (credit facilities and term loans), mortgage and leasehold financing, construction loans, receivables factoring transactions and loan workouts/forbearances.
On the lender side, Mr. Cutler assists clients by, among other things:
- Analyzing priority issues and the enforceability of liens in Connecticut and New York
- Conducting a due diligence review of borrowers and guarantors
- Preparing letters of intent, commitment letters, loan documents and payoff letters
- Restructuring loans and loan workouts
- Negotiating and preparing forbearance and standstill agreements
On the borrower side, Mr. Cutler reviews letters of intent, commitment letters and loan documents, and advises clients to ensure the client understands the terms and legal risks, negotiate the loan documents (including but not limited to any special conditions to lending or post-closing obligations of the borrower or guarantor).
