Forming and structuring private equity funds and hedge funds, particularly for exotic or alternative investment vehicles, are complex matters. Mr. Cutler has structured and drafted fund transaction documents (operating agreements, limited partnership agreements, investment advisory agreements, investment management agreements, private placement documents and “blue sky” state filings to name a few) for numerous fund sponsors, investment managers and investment advisors over the years, including entities which are exempt from registration under the Securities Exchange Act of 1933, the Securities Exchange Act of 1934, the Investment Company Act of 1940 and the Investment Advisors Act of 1940. He draws not only on his experience from years of representing large financial institutions, but also his personal knowledge of fund management and operations, having served formerly served as Managing Director and Chief Legal Officer of The Hamilton Group, a New York based investment management firm.
